Constitution
Like every well run club we have a constitution, upon which we base our activities and ethos
TYNE VALLEY CYCLING CLUB - CONSTITUTION
Article 1. The Name
The name of this organisation (hereafter called the Club) shall be:
TYNE VALLEY CYCLING CLUB.
Article 2. The Objectives
The objectives for which the Club is established are to encourage, promote and develop the sport and pastime of cycling in all its forms for the benefit of members of the Club and all sections of the community. The Club will achieve these objectives by organising regular activities such as club runs with competent leaders for all levels of ability, running coaching sessions for less experienced riders and actively recruiting and developing new members from the local community.
Article 3. Management of the Club
The affairs of the Club shall be managed and administered by the management committee, which may from time to time be assisted by sub-committees convened for nominated purposes. The officers of the club will be:
· Chair
· Secretary
· Treasurer
· Others as elected by members
Officers will be elected by a two-thirds majority of members attending each Annual General Meeting, or Extraordinary General Meeting convened for that purpose.
Article 4. Finance
The executive committee shall cause proper books of accounts to be kept with respect to: the assets and liabilities of the Club; the sums of money received and expended by the Club.
Article 5. Membership
Any individual may become a member of the Club, either on request of the individual or by invitation by an existing member, subject to the terms and conditions set out in Bye-Law 5.
Article 6. Club Meetings
(i) Annual General Meeting
The annual general meeting of the Club shall normally be held during the month of November.
(ii) General Meetings
The general meetings of the Club shall normally be held once per month for the conduct of the affairs of the Club.
(iii) Extraordinary General Meetings
Extraordinary general meetings may be called under the provisions of Bye-Law 6.
(iv) Voting
All members of the Club shall have the right to vote at club meetings.
Article 7. Affiliation to other Organisations
The Club and its members may elect to be affiliated to any organisation that promotes the objects of the Club.
Article 8. The Colours of the Club
The colours of the Club shall be yellow, red and black.
Article 9. Races
Races shall be promoted under the rules of the appropriate governing organisation.
Article 10. Assistance at Club Events
Members are expected to assist on at least two occasions per year with the proper running of events promoted by the Club.
Article 11. Club Runs
Club runs shall be organised for the benefit of members and potential members.
Article 12. Insurance
(i) Club Third Party Insurance
The executive committee shall ensure that the Club is covered with regard to public liability insurance.
(ii) Personal Third Party Insurance
As a condition of membership of the Club each member shall make provision for at least third party insurance cover in respect of their activities with the Club. This cover is generally provided as a benefit of membership of British Cycling (BC) or the Cyclists Touring Club (CTC).
Article 13. Amendments to the Constitution or Bye-Laws
(1) Amendments to the Constitution
This constitution may be amended only on a resolution submitted in writing to the secretary and circulated to all members of the Club not less than 14 days prior to an annual general meeting or an extraordinary general meeting called for that purpose. Voting shall be by show of hand. To carry a resolution a majority of two thirds of those voting shall be required.
(ii) Bye-Laws
Bye-laws for the conduct of the affairs of the Club may be made, amended or rescinded only on a resolution submitted in writing to the secretary and circulated to all members of the Club not less than 14 days prior to an annual general meeting or an extraordinary general meeting called for that purpose. Voting shall be by show of hand. To carry a resolution a majority of two thirds of those voting shall be required.
Article 14. Dissolution of the Club.
(i) Method of Dissolution of the Club
The Club may be dissolved by a resolution proposed in accordance with Article 13, except that the majority required to carry the proposal shall be not less than three quarters of the members present and voting.
(ii) Settlement of Debts and Disposal of Property
If upon the dissolution of the Club there remains after satisfaction of all its debts and liabilities any property whatsoever the same shall not be paid or distributed among the members of the Club but shall be given or transferred to some other organisation having objectives similar to the objectives of the Club.
Article 15. The Club Website.

(ii) Website Administration.
The Club website will be administered by a Club member having the support and agreement of at least two-thirds of the membership attending the AGM, or EGM called for the express purpose of reviewing said administration.
Website Support.
All members are called upon to support the maintenance of the website with news items or items of interest, which they should pass to the administrator, preferably in electronic format.
